Terms of Service

1. Introduction and Acceptance
These Terms of Service ("Terms") govern your access to and use of store.logiprep.com (the "Site") and any purchase you make through it. The Site is owned and operated by LogiPrep LLC ("LogiPrep Store", "we", "us", or "our"), a limited liability company with its principal place of business at 1919 North Bridge Street, Elkin, North Carolina 28621, United States.
By accessing, browsing, or purchasing from the Site, you agree to be bound by these Terms and by our Privacy Policy, Shipping Policy, and Return & Refund Policy, each of which is incorporated into these Terms by reference. If you do not agree to these Terms, do not use the Site.

2. About Our Store and Products
LogiPrep Store is the online clearance outlet of LogiPrep, a US logistics and fulfillment company. We sell overstock, surplus, and clearance merchandise across a range of everyday categories. Products are inspected at our North Carolina warehouse before being listed.
Because we deal in clearance and limited-stock inventory, quantities are limited, availability changes frequently, and sold-out items are generally not restocked. All items are sold as new unless a product page expressly states otherwise.

3. Eligibility
You must be at least 18 years of age, or the age of majority in your jurisdiction, and able to form a legally binding contract to place an order. By placing an order you represent that you meet these requirements and that all information you provide is accurate and complete.

4. Account Registration
You may be able to create an account to manage orders. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly at support@store.logiprep.com of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

5. Product Descriptions, Images, and Availability
We make reasonable efforts to describe products accurately, including brand, pack count, size, and condition. Product images are representative; minor variations in packaging, labeling, or appearance may occur, particularly with clearance inventory.
All orders are subject to availability. We reserve the right to limit quantities per customer or order, and to discontinue any product at any time. Where an ordered item is unavailable after purchase, we will notify you and cancel and refund that portion of your order.

6. Pricing
All prices are listed in US Dollars (USD) and exclude applicable taxes unless stated at checkout. Any compare-at or reference price shown reflects a genuine prior or prevailing price for the item; the savings displayed are real markdowns on stock we hold.
Prices are subject to change without notice. The price applicable to your order is the price displayed at the time your order is accepted.

6.1 Pricing Errors
Despite our efforts, a product may occasionally be listed at an incorrect price due to a typographical, system, or human error. We reserve the right to cancel or refuse any order placed at an incorrect price, even after the order has been confirmed. Where payment has already been collected for a cancelled order, we will issue a full refund of the amount paid to the original payment method. This is an exception to Section 10 (No Monetary Refunds) and applies only to orders we cancel for pricing errors.

7. Taxes
Applicable sales tax is calculated and displayed at checkout based on your shipping address and current tax law. You are responsible for any applicable local, state, or federal taxes on your purchase.

8. Orders and Acceptance
Placing an order constitutes an offer to purchase. Our order confirmation email acknowledges receipt of your order; it does not constitute acceptance. A contract is formed only when we dispatch the product to you.
We reserve the right to refuse, limit, or cancel any order at our discretion, including where we suspect fraud, resale in violation of these Terms, an ordering error, or stock unavailability. Where we cancel an order for which payment has been collected, we will refund that payment in full.

8.1 Order Cancellations by You
Cancellation requests can only be honored if the order has not yet shipped. Contact us immediately at support@store.logiprep.com. Once an order has shipped, it is final and governed by our Return & Refund Policy.

9. Payment
Payment is processed through Shopify's secure checkout. We accept the payment methods displayed at checkout. By submitting payment information, you represent that you are authorized to use the payment method and authorize us to charge the full order amount, including taxes and shipping, to that method. We do not store your full payment card details.

10. Shipping, Delivery, Title and Risk of Loss
We ship to addresses within the United States only. Shipping rates, processing times, and delivery estimates are set out in our Shipping Policy, which forms part of these Terms.
Delivery estimates are provided for information only and are not guaranteed. We are not responsible for delays caused by carriers, weather, or other circumstances beyond our reasonable control.
You are responsible for providing a complete and accurate shipping address. We are not responsible for orders delayed, misdelivered, or lost due to an incorrect or incomplete address; a reshipment in these circumstances may incur additional cost.
Title and risk of loss pass to you upon delivery of the products to the carrier.

11. Returns, Replacements, and Refunds
Our Return & Refund Policy is incorporated into these Terms by reference. In summary, and subject to the full terms of that policy:
All sales are final. We do not accept returns or exchanges for change of mind, incorrect selection, delayed delivery, or dissatisfaction with a product's appearance, fit, or performance.
Where an item arrives damaged, defective, or materially different from what was ordered, you may request a free replacement of the same product within 15 days of delivery, supported by photographic or video evidence.
A verified replacement is our sole and exclusive remedy. If the original item is out of stock, we will offer the closest available equivalent or store credit at our discretion.
We do not issue monetary refunds to the original payment method, except where we cancel an order under Section 6.1 (pricing errors) or Section 8 (order refused, cancelled, or unavailable stock), or where required by applicable law.
Please review the Return & Refund Policy in full before completing your purchase. Nothing in these Terms limits any right or remedy you have under applicable consumer protection law that cannot lawfully be excluded.

12. Payment Disputes and Chargebacks
We encourage you to contact us at support@store.logiprep.com to resolve any issue before filing a payment dispute or chargeback, so that we can arrange a replacement where applicable. Chargebacks filed without first contacting us and that do not comply with our stated policies may result in your account being flagged or restricted from future purchases.

13. Promotions, Discounts and Free Shipping
Promotions, discount codes, and free-shipping thresholds are offered at our discretion, may be withdrawn or amended at any time, and are subject to any stated minimum order value, exclusions, and expiry. Discount codes have no cash value and may not be combined unless expressly stated.

14. Acceptable Use
You agree not to:
Use the Site for any unlawful purpose or in violation of these Terms.
Purchase products for commercial resale without our prior written consent.
Use automated means (bots, scrapers, crawlers) to access, monitor, or copy Site content, or to purchase limited-stock inventory.
Interfere with, damage, disable, or impair the Site or its security, or attempt to gain unauthorized access to any part of it.
Submit false, misleading, or fraudulent information, including in return or replacement claims.
Infringe our intellectual property rights or those of any third party.

15. User-Submitted Content
If you submit reviews, comments, photos, or other content to the Site, you grant us a non-exclusive, royalty-free, worldwide, perpetual licence to use, reproduce, and display that content in connection with the Site and our business. You represent that you own or have the necessary rights to the content and that it does not violate any law or third-party right. We may remove any user content at our discretion.

16. Intellectual Property
All content on the Site — including text, graphics, logos, product images, page layouts, and software — is the property of LogiPrep LLC or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, publicly display, transmit, or otherwise exploit any Site content without our express written permission.
Third-party brand names, trademarks, and product images that appear on the Site remain the property of their respective owners and are used to identify the products we sell. Their appearance does not imply any endorsement of, or affiliation with, LogiPrep Store by those owners.

17. Third-Party Links
The Site may contain links to third-party websites for convenience. These links do not constitute an endorsement. We have no control over the content, privacy practices, or terms of third-party sites and are not responsible for any loss or damage arising from your use of them.

18. Privacy
Your use of the Site is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you consent to the collection and use of your information as described in that policy.

19. Disclaimer of Warranties
EXCEPT AS EXPRESSLY STATED IN THESE TERMS OR AS REQUIRED BY APPLICABLE LAW, THE SITE AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Products may carry a manufacturer's warranty; any such warranty is provided by the manufacturer and not by LogiPrep Store. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOGIPREP LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR ANY PRODUCT PURCHASED THROUGH IT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR ANY ORDER SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM.
Nothing in these Terms excludes or limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded.

21. Indemnification
You agree to indemnify, defend, and hold harmless LogiPrep LLC and its officers, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site; (b) your violation of these Terms; or (c) your violation of any rights of another person or entity.

22. Force Majeure
We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, natural disasters, severe weather, labor disputes, carrier failures, supplier shortages, utility or network outages, war, terrorism, civil unrest, or government action.

23. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to them or to your use of the Site or purchase of products are governed by the laws of the State of North Carolina, without regard to its conflict of law provisions.
You agree that the exclusive venue for any dispute shall be the state or federal courts located in Surry County, North Carolina, and you consent to the personal jurisdiction of those courts. Before commencing any legal action, you agree to contact us at support@store.logiprep.com and attempt in good faith to resolve the dispute informally.

24. Severability and Waiver
If any provision of these Terms is found unenforceable, that provision shall be limited or severed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

25. Assignment
You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

26. Entire Agreement
These Terms, together with our Privacy Policy, Shipping Policy, and Return & Refund Policy, constitute the entire agreement between you and LogiPrep LLC regarding the Site and supersede any prior agreements or understandings.

27. Changes to These Terms
We may update these Terms at any time. The "Last Updated" date at the top indicates when the current version took effect. Changes apply prospectively from the date of posting and do not affect orders already placed. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
